Terms and Conditions

PURA VIDEOS

Welcome to Pura Videos. These are the general terms and conditions that apply to all agreements, collaborations, and services provided by Pura Videos. By working with us, you agree to these terms.

If you require any changes or alternative arrangements, please contact us before proceeding.

Definitions

  1. Pura Videos: based in Terheijden, The Netherlands, and Ibiza, Spain. Chamber of Commerce no. 71175296.
  2. Client: any business, organisation, or individual with whom Pura Videos has an agreement to deliver services or products.
  3. Parties: Pura Videos and the Client.
  4. Contract: a written agreement in the form of a signed brief, purchase order or quotation.
  5. Third party: any company, organisation, or individual not affiliated with Pura Videos or the Client.

Applicability

  1. These terms apply to all offers, quotations, activities, agreements, and services provided by Pura Videos.
  2. Deviations from these terms are only valid if agreed in writing by both parties.
  3. Any conflicting terms from the Client or third parties are explicitly excluded.

Offers and Quotations

  1. All offers and quotations are non-binding unless explicitly stated otherwise.
  2. Offers expire if not accepted within the specified timeframe.
  3. Standard offers do not apply to repetitive orders unless agreed in writing.

Acceptance

  1. Acceptance of an offer or quotation becomes binding once Pura Videos receives written confirmation.
  2. Pura Videos reserves the right to withdraw an offer within 3 days of receiving acceptance, without liability to the Client.
  3. Verbal agreements are valid only after written or electronic confirmation by Pura Videos.

Prices

  1. All prices are in EUR and exclude VAT, administrative fees, travel, or transport costs, unless stated otherwise.
  2. Price adjustments may occur if the Client changes the initial agreement or if additional third-party costs arise.

Payment Terms

  1. A 50% deposit may be requested upon agreement.
  2. Full payment is due within 14 days of invoice.
  3. Pura Videos may withhold delivery until full or partial payment is received.
  4. Late payments may be subject to statutory interest and collection costs.

Delayed or Non-Payment

  1. In the event of liquidation, bankruptcy, seizure, or suspension of payments by the Client, all claims by Pura Videos become immediately due.
  2. The Client waives the right to suspend obligations or offset claims unless they are a private individual.

Retention of Title

  1. All products and services remain the property of Pura Videos until full payment has been made.
  2. Until ownership transfers, the Client may not pledge, sell, or otherwise encumber the products.
  3. Pura Videos may reclaim products if the Client fails to pay.

Copyright and Ownership

  1. Under Dutch law, Pura Videos retains copyright of all commissioned works unless otherwise agreed in writing.
  2. By default, the Client receives a perpetual, worldwide license to use the material for all platforms.
  3. The Client may not resell, redistribute, or create derivative works without written permission.
  4. Media may not be used in illegal, immoral, pornographic, or defamatory contexts, nor incorporated into trademarks or logos without consent.
  5. Contact us if you require full copyright assignment.

Execution of Services

  1. Pura Videos may engage third parties to perform agreed services.
  2. The Client is responsible for ensuring timely access and cooperation.
  3. Additional costs from delays caused by the Client will be invoiced.
  4. In case of minor equipment or image issues, a reasonable percentage may be deducted from the invoice.

Change and Cancellation

  1. If the event or project date changes, Pura Videos will try to accommodate, but may cancel if it conflicts with existing commitments.
  2. Deposits are non-refundable.
  3. Cancellation of the project does not entitle the Client to a refund of payments made.

Liability

  1. Pura Videos is liable only for direct damage caused by intent or gross negligence.
  2. Indirect damage (loss of profit, missed savings, third-party claims) is excluded.
  3. Liability is limited to the amount covered by insurance or, if not insured, the relevant invoice amount.
  4. Pura Videos is not liable for weather-related disruptions to film projects or livestreams.

Force Majeure

  1. Pura Videos is not responsible for failure to fulfill obligations due to circumstances beyond its control, including but not limited to:
    1. Natural disasters, civil unrest, power or internet outages, strikes, government measures, pandemics, or transport issues.
  2. Obligations are suspended until Pura Videos can reasonably resume performance.
  3. If force majeure lasts more than 60 days, either party may dissolve the agreement.
  4. No compensation is due during force majeure.

Live Events

  1. Internet connections will be tested on-site before the event.
  2. Pura Videos will deliver agreed image quality, or a reduced quality if necessary.
  3. If livestreaming is impossible, the event will be recorded for later viewing.

Other Provisions

  1. For private clients, mandatory consumer law takes precedence.
  2. Agreements may be amended by mutual consultation if required.
  3. Pura Videos may update these terms at any time; clients will be notified of material changes.
  4. Invalid provisions will be replaced with provisions reflecting the original intent.
  5. Claims may not be transferred or encumbered without Pura Videos’ consent.

Governing Law

  1. Dutch law applies exclusively.
  2. Disputes will be settled by the competent court in the district of Pura Videos’ main office, unless the law prescribes otherwise.
